LICENSE AGREEMENT

NOTICE -- READ BEFORE INSTALLING THIS SOFTWARE

CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT BEFORE INSTALLING THIS SOFTWARE.

INSTALLING OR USING THIS SOFTWARE INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS.

IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE THIS SOFTWARE, AND SHOULD PROMPTLY DELETE THIS PROGRAM.

This Software End-User License Agreement ("License Agreement") is a legal agreement between you (either an individual or a single entity) and Supra Learning Solutions for the software ("SOFTWARE") accompanying this License Agreement, which includes computer software and may include other media, printed materials, and online or electronic documentation.

By exercising your rights to make and use the SOFTWARE, or copies of the SOFTWARE, you agree to be bound by the terms of this License Agreement.

If you do not agree to the terms of this License Agreement, you may not use the SOFTWARE.

The software with this product is licensed, not sold. You must either agree to the license or promptly remove this software from your system.

SOFTWARE LICENSE

The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

1. GRANT OF LICENSE. This License Agreement grants you the following rights:

Installation and Use: THIS PROGRAM IS PROVIDED TO YOU FREE AND WITHOUT ANY WARRANTY.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

Limitations on Reverse Engineering. You may not: (1) rent, lease all or any portions of the SOFTWARE; (2) modify or prepare derivative works of any component or portion of the SOFTWARE; or

(2) translate the contents of the CBT Modules (partly or whole), in any other language or form

(3) reverse engineer, decompile or disassemble the SOFTWARE. You agree to keep confidential and use your best efforts to prevent and protect the contents of the SOFTWARE from unauthorized disclosure or use.

3. COPYRIGHT. All title, copyrights, trade secret, patent and other proprietary rights in and to the SOFTWARE, the accompanying printed materials, and any copies of the SOFTWARE are owned by

Supra Learning Solutions. The SOFTWARE is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE like any other copyrighted material.

LIMITED WARRANTY

NO WARRANTIES. Supra Learning Solutions expressly disclaims any warranty for the SOFTWARE. The SOFTWARE and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the SOFTWARE remains with you.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall Supra Learning Solutions, its suppliers, its www site, or anyone else involved in the creation of this CBT Modules be liable for any damages whatsoever (including, without limitation, damages for loss of data, loss of business profits, business interruption, loss of business information, direct, indirect, special, incidental or consequential damages, or any other pecuniary loss) arising out of the use of or inability to use this SOFTWARE, even if

Supra Learning Solutions has been advised of the possibility of such damages.
